Authorized Representative Guidelines

Definition

An Authorized Representative is the individual officially recognized to act on behalf of a business in PayMongo. This person has the authority to manage the account, submit documents, and make binding updates to business details.


Significance of Access

Being an Authorized Representative means:

  • You have full authority to represent the business in PayMongo.
  • You can access sensitive account information and complete onboarding requirements.
  • Your identity and appointment must be backed by official documentation (e.g., Secretary’s Certificate, Partnership Resolution, or Special Power of Attorney).
  • Any actions you take on the account are legally binding for the business.

Importance of Having an Authorized Representative

PayMongo requires an Authorized Representative to ensure:

  • Compliance with regulatory requirements (BSP, SEC, AMLC).
  • Account security by restricting access to duly appointed individuals only.
  • Clear accountability for business actions and updates.

Eligibility per Business Type

This depends on your business type. See the table below for allowed representatives and requirements if changes are needed:

Individual / Unregistered Business

Business owner / Applicant / ID holder

Cannot be changed.

Sole Proprietorship

  • The business owner indicated in the DTI Certificate of Registration
  • The Authorized Representative representing the Business owner supported by:
    • Duly-notarized Special Power of Attorney issued by the business owner
    • Three specimen signatures of the business owner beside their valid ID
    • Valid ID of the new authorized representative (1 primary or 3 secondary IDs; should show full name, address, nationality, DOB)

Provide the following documents

  • Duly-notarized Special Power of Attorney issued by the business owner
  • Three specimen signatures of the business owner beside their valid ID Valid ID of the new authorized representative (1 primary or 2 secondary IDs; should show full name, address, nationality, DOB)
  • Signed SOA of the new authorized representative
  • Liveness check or selfie of the new authorized representative

Partnership

The Authorized representative(s) indicated in the Partnership Resolution

Provide the following documents

  • Issue a new Notarized Partnership Resolution
  • Valid government-issued ID of authorized representative (1 primary or 2 secondary IDs)
  • Signed SOA of the new authorized representative
  • Liveness check or selfie of the new authorized representative

Corporation & OPC

The Authorized representative(s) indicated in the Secretary's Certificate

Provide the following documents

  • Issue a new Notarized Secretary's Certificate / Board Resolution*
    • Board resolution for instances where there are 2-3 Authorized representatives in the Secretary's Certificate and they wish to add or remove
  • Valid government-issued ID of authorized representative (1 primary or 2 secondary IDs)
  • Signed SOA of the new authorized representative
  • Liveness check or selfie of the new authorized representative


Examples and Scenarios

Appointment of a Different Representative

  • Sole proprietors may appoint someone else through a duly notarized Special Power of Attorney.
  • Partnerships and Corporations can update representatives through a Partnership Resolution or Secretary’s Certificate/Board Resolution.

Representation for Sole Proprietors

A manager or relative may act as a representative if they are officially appointed via a notarized Special Power of Attorney, supported by required IDs and specimen signatures.

Individual or Unregistered Businesses

For individuals or unregistered businesses, the account holder (applicant/ID holder) is the only Authorized Representative and this cannot be changed.
